These Terms of Service ("Terms") govern your access to and use of the CodeVue website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

Services

CodeVue provides custom software development, mobile application development, web development, UI/UX design, AI integration, and related digital services to clients globally. Services are provided under separate written agreements or statements of work negotiated between CodeVue and each client.

These Terms apply to your use of our website and any preliminary engagement prior to a formal contract. The terms of individual client projects are governed by specific project agreements, which supersede these general Terms where they conflict.

Use of Our Website

You may use our website for lawful purposes only. You agree not to:

  • Use the website in any way that violates applicable laws or regulations
  • Transmit any unsolicited or unauthorised advertising or promotional material
  • Attempt to gain unauthorised access to any part of our website or its related systems
  • Interfere with or disrupt the integrity or performance of the website
  • Use automated tools (bots, scrapers, crawlers) to collect data from our website without prior written consent
  • Reproduce, duplicate, copy, or exploit any portion of our website for commercial purposes without written authorisation

We reserve the right to terminate or restrict access to our website at our sole discretion, without notice, for any conduct we determine to be in violation of these Terms.

Intellectual Property

The content on this website — including but not limited to text, design, graphics, logos, icons, images, code, and the CodeVue name and brand — is the exclusive property of CodeVue and is protected by applicable copyright, trademark, and intellectual property laws.

You may view and print pages from this website for personal, non-commercial use only. You may not reproduce, republish, upload, post, transmit, distribute, or modify any content without our express prior written permission.

For client projects, intellectual property ownership is defined in the relevant project agreement. Unless otherwise agreed in writing, CodeVue retains rights to general methodologies, frameworks, tools, and background IP developed prior to or independently of the client engagement.

Project Engagements & Payment

Where you engage CodeVue for a project, the following general terms apply unless superseded by a specific written agreement:

  • Projects commence upon receipt of a signed scope document and agreed advance payment
  • Payment terms, milestones, and deliverables will be defined in the project proposal
  • All fees are quoted exclusive of applicable taxes (GST as per Indian law, or equivalent in other jurisdictions)
  • Invoices are payable within the period specified in the project agreement
  • CodeVue reserves the right to pause or terminate work on accounts with outstanding payments beyond 15 days past due
  • Refund eligibility is defined in individual project agreements; in the absence of specific terms, advance payments are non-refundable once work has commenced
  • Any changes to agreed project scope must be documented and may result in revised timelines and costs

Confidentiality

Each party agrees to keep confidential all non-public information received from the other party in connection with a project engagement, and not to disclose such information to third parties without prior written consent.

This obligation does not apply to information that: (a) was publicly known at the time of disclosure; (b) becomes publicly known through no fault of the receiving party; (c) was independently developed without reference to the confidential information; or (d) is required to be disclosed by law.

Where clients require a formal Non-Disclosure Agreement before sharing project details, we are happy to execute one — simply request this through our contact form.

Warranties & Disclaimers

Our website is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

To the fullest extent permitted by law, CodeVue disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty regarding the accuracy, reliability, or completeness of any information on our website. Information about services, timelines, and outcomes is provided for general guidance only and does not constitute a binding commitment.

Limitation of Liability

To the fullest extent permitted by applicable law, CodeVue shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising from your use of or inability to use our website or services.

In no event shall CodeVue's total aggregate liability to you for claims arising from these Terms or your use of our website exceed the greater of (a) the amount you paid to CodeVue in the twelve months preceding the claim, or (b) ₹5,000.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless CodeVue and its officers, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from: (a) your use of our website or services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to us.

Third-Party Services

Our website may reference or link to third-party tools, platforms, or services. These are provided for your convenience and do not constitute an endorsement. CodeVue has no control over third-party services and accepts no responsibility for their content, privacy practices, or availability.

In the course of delivering client projects, CodeVue may recommend or use third-party platforms (hosting providers, CMS systems, payment gateways, etc.). Use of such platforms is subject to their respective terms of service and privacy policies.

Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, specifically the applicable laws of the State of Haryana, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, conducted in English in Faridabad, Haryana.

Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes become effective upon posting to this page. We will update the "Last Updated" date accordingly. Your continued use of our website after changes constitutes acceptance of the revised Terms.

For material changes, we will make reasonable efforts to notify users through a prominent notice on our website.

Severability & Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall otherwise remain in full force and effect.

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Entire Agreement

These Terms, together with our Privacy Policy and any specific project agreements, constitute the entire agreement between you and CodeVue regarding your use of our website and services, and supersede all prior agreements and understandings.
